Terms of Service

These terms describe the baseline rules for using Zayt pharmacy inventory and purchasing intelligence services.

1. Acceptance

These Terms of Service govern access to and use of Zayt websites, applications, APIs, integrations, and related services. By using Zayt, you agree to these terms.

If you use Zayt on behalf of a business or other organization, you represent that you have authority to bind that organization, and references to "you" include that organization.

2. The Service

Zayt provides location-aware software for pharmacy inventory counts, inventory movements, expiration monitoring, patient-free Rx30 fill activity, Order Guide recommendations, approved supplier comparisons, and operational analytics, together with supporting account, billing, connection, and supplier settings.

Supplier and Order Guide results are estimates and decision support. Price Requests is the only supplier-contact workflow: an authorized owner or manager may send a factual exact-product price inquiry through a separately authorized Gmail mailbox only after approving the exact subject and body. Zayt does not submit supplier orders, prepare live carts, auto-send follow-ups, make purchase commitments, authorize medication substitution, or replace pharmacist, legal, compliance, or other professional judgment.

3. Accounts and Authorized Users

You must provide accurate account information and keep credentials, devices, and administrator access secure. You are responsible for activity under accounts that you create or authorize.

You may only invite users, connect pharmacy locations, configure supplier accounts, or authorize provider data that you are permitted to manage for the relevant pharmacy organization.

You may connect Gmail only if you are authorized to manage the mailbox for the pharmacy location. You are responsible for configuring only legitimate supplier representatives, reviewing each Price Request, and confirming that the exact subject, body, recipient, product, quantity, and price facts are accurate before approving a send.

4. Customer Data and Provider Access

You retain ownership of pharmacy locations, inventory records, lot and expiration data, supplier and contract information, approved import files, patient-free fill activity, and other information that you submit to Zayt or authorize Zayt to access. You grant Zayt permission to host, process, transmit, display, and use that information as needed to provide, secure, support, and improve the service.

You are responsible for ensuring that you have the rights and permissions needed to connect an approved provider feed, upload a supplier file, supply operational data, or authorize users. Do not submit patient names, prescriber information, insurance information, directions, diagnoses, contact information, or ordinary Rx30 or McKesson portal passwords to workflows that do not expressly support them.

Third-party provider accounts, APIs, marketplaces, and platforms remain governed by their own terms and policies. Provider access may be limited, suspended, revoked, or changed by the provider or by you.

If you authorize Gmail, Zayt requests only https://www.googleapis.com/auth/gmail.readonly and https://www.googleapis.com/auth/gmail.send. Read-only access is limited to bounded recent provider-code retrieval and configured supplier-representative conversations; send access is limited to an exact Price Request that an authorized user approves. You must use a procurement-only mailbox and representative threads that do not contain patient, prescriber, claim, insurance, diagnosis, directions, or contact data. Zayt does not change Gmail labels, read state, archive state, or drafts.

5. Acceptable Use

You may not use Zayt to violate laws, infringe rights, send unlawful or deceptive communications, access systems or data without authorization, introduce malware, bypass rate limits or security controls, scrape or resell the service, or interfere with service availability.

You may not use Zayt to automate a supplier portal login, place or prepare an order, direct an external medication transfer or resale, or treat an equivalence candidate as authority to substitute a medication. You may not submit highly sensitive information unless the applicable Zayt feature expressly supports it and you have appropriate authorization to do so.

You may not use Price Requests to place or accept an order, promise a purchase, negotiate unrelated terms, misrepresent a price or source, contact an unapproved recipient, transmit patient or other prohibited sensitive information, or evade a supplier, Google, or Zayt control. Follow-up reminders create a reviewable draft only; each message requires a new exact-content approval.

6. Fees and Subscriptions

If you purchase a paid plan or paid services, pricing, billing cycles, usage limits, taxes, renewal terms, and cancellation terms will be described in the applicable order, checkout, invoice, or written agreement.

Unless otherwise stated in writing, fees are non-refundable except where required by law.

7. Third-Party Services and Estimates

Zayt may interoperate with third-party services that are not controlled by Zayt. We are not responsible for third-party services, data availability, API changes, provider outages, or provider decisions.

Inventory, expiration, supplier, savings, and ordering estimates may be incomplete, stale, inaccurate, or inappropriate for a specific situation. You are responsible for verifying source timestamps, mappings, package units, stock, pricing, contract terms, and recommendations before making purchasing, dispensing, clinical, financial, legal, or compliance decisions.

AI-generated and deterministic Price Request drafts are suggestions and may be incomplete or inaccurate. You are responsible for reviewing and, when needed, editing the exact recipient, subject, body, product, package, quantity, and price facts before approval. Approval applies only to the exact content shown and does not make Zayt an ordering or purchasing agent.

Gmail access is also governed by your Google account terms and permissions. You may disconnect Gmail in Zayt or revoke access through your Google Account. Disconnecting stops future synchronization and removes locally stored Gmail tokens and imported or derived mailbox content, subject to retention of redacted audits, content hashes, and Price Request outcomes.

8. Intellectual Property

Zayt and its licensors retain all rights in the service, software, designs, documentation, models, workflows, trademarks, and related technology. These terms do not grant you ownership of Zayt intellectual property.

If you provide feedback or suggestions, Zayt may use them without restriction or obligation to you.

9. Security and Confidentiality

Zayt uses reasonable administrative, technical, and organizational safeguards designed to protect the service and customer data. No internet service can be guaranteed to be perfectly secure.

Each party will use reasonable care to protect non-public information received from the other party and will use it only as permitted by these terms or applicable law.

10. Suspension and Termination

You may stop using Zayt at any time. Zayt may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts due, or use the service in a way that may harm Zayt, customers, providers, or third parties.

Records from retired Zayt agent, review, restaurant, and voice products may remain encrypted and read-only while retention, export, security, legal, or contractual obligations are evaluated or satisfied. Those historical records do not make the retired products available for new use.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, and dispute terms.

11. Disclaimers

The service is provided "as is" and "as available." To the maximum extent permitted by law, Zayt disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free performance.

Zayt does not provide legal, tax, accounting, medical, clinical, pharmacist, or financial advice. You should consult qualified professionals for advice specific to your pharmacy and use professional judgment for medication, dispensing, purchasing, return, and compliance decisions.

12. Limitation of Liability

To the maximum extent permitted by law, Zayt will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm.

To the maximum extent permitted by law, Zayt's total liability for any claim related to the service will not exceed the amounts you paid to Zayt for the service during the 12 months before the event giving rise to the claim, or 100 USD if you have not paid Zayt.

13. Indemnity

You will defend and indemnify Zayt from claims, damages, liabilities, costs, and expenses arising from your use of the service, your customer data, your connected provider accounts, your violation of these terms, or your violation of law or third-party rights.

14. Changes, Governing Law, and Contact

Zayt may update these terms from time to time. The updated version will be posted on this page with a new last updated date, and continued use of the service means you accept the updated terms.

These terms are governed by applicable laws of the United States, without regard to conflict of law rules, except where local law requires otherwise.
